1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the websites, software, applications, and services (collectively, "Services") operated by Telio, LLC ("Telio," "we," "us," "our"), a limited liability company organized under the laws of Pennsylvania. By registering an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

• You must be at least 18 years old to use the Services.
• You must provide accurate, complete, and current registration information.
• You may not use the Services if you are prohibited from doing so under applicable law.
• Use of the Services by competitors for benchmarking or competitive intelligence purposes is prohibited without prior written consent.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Telio immediately at [email protected] of any unauthorized use or security breach. Telio is not liable for any loss resulting from unauthorized account access that occurs without our fault.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable federal, state, local, or international law or regulation
• Transmit unsolicited, deceptive, or harmful communications (spam, phishing, malware)
• Infringe the intellectual property rights of Telio or any third party
• Attempt to gain unauthorized access to any system, network, or data
• Interfere with or disrupt the integrity or performance of the Services
• Scrape, harvest, or extract data from the Services without express written permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Store, process, or transmit content that is unlawful, defamatory, obscene, or otherwise objectionable

5. Subscription and Billing

Certain Services require a paid subscription. By subscribing, you authorize Telio to charge your designated payment method on a recurring basis at the then-current rates. All fees are in USD. Telio may change pricing with at least 30 days' notice. Except as expressly stated in our refund policy, all fees are non-refundable. Failure to pay may result in suspension or termination of access.

6. Intellectual Property

The Services, including all software, designs, text, graphics, and other content, are owned by or licensed to Telio, LLC and are protected by U.S. and international intellectual property laws. These Terms do not grant you any ownership rights in the Services. All rights not expressly granted herein are reserved by Telio.

7. Third-Party Services

The Services may integrate with or link to third-party services (e.g., payment processors, SMS providers, calendar platforms). Telio does not control and is not responsible for third-party services. Your use of third-party services is subject to their own terms and policies.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TELIO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TELIO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TELIO, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL. TELIO'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

10. Indemnification

You agree to indemnify and hold harmless Telio, LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or violation of any third-party right.

11. Termination

Telio may suspend or terminate your access to the Services at any time for violation of these Terms, non-payment, or any other reason, with or without notice. You may cancel your account at any time from your account settings or by contacting [email protected]. Upon termination, your right to use the Services ceases immediately. Data export windows and deletion schedules are described in our Privacy Policy.

12. Modifications

Telio reserves the right to modify these Terms at any time. We will provide notice of material changes via email to registered users or a prominent notice on the Services at least 14 days before the change takes effect. Continued use after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts of Bucks County, Pennsylvania. You consent to personal jurisdiction in those courts.

14. Miscellaneous

These Terms, together with our EULA and Privacy Policy, constitute the entire agreement between you and Telio regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Telio's failure to enforce any right is not a waiver of that right. You may not assign your rights under these Terms without Telio's prior written consent.
