End User License Agreement

1. Grant of License

Telio, LLC ("Telio," "we," "us") grants you a limited, non-exclusive, non-transferable, revocable license to access and use Telio software, applications, and services (collectively, the "Software") solely for your internal business operations, subject to the terms of this Agreement and any applicable subscription or service agreement.

2. Restrictions

You may not:

• Copy, modify, distribute, sell, sublicense, or transfer the Software or any rights therein
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software to provide services to third parties (including SaaS, time-sharing, or bureau arrangements) without written authorization from Telio
• Access or use the Software in any manner that violates applicable law or these terms
• Use the Software to store, process, or transmit data in violation of any privacy law or regulation

3. Ownership

The Software and all intellectual property rights therein are and remain the sole property of Telio, LLC. This Agreement grants you a license to use the Software; it does not transfer ownership. All rights not expressly granted are reserved by Telio.

4. Account Registration

To access certain features, you must register an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify Telio immediately at [email protected] upon learning of any unauthorized use.

5. User Data

You retain ownership of data you submit to the Software ("Your Data"). You grant Telio a limited license to use Your Data solely to provide and improve the Software. Telio will handle Your Data in accordance with our Privacy Policy. You represent that you have all necessary rights and consents to submit Your Data to the Software.

6. Updates and Changes

Telio may update, modify, or discontinue features of the Software at any time. We will endeavor to provide reasonable notice of material changes. Continued use of the Software after a change takes effect constitutes your acceptance of the updated terms.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. TELIO DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TELIO, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, EVEN IF TELIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TELIO'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY YOU TO TELIO IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Telio, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Software; (b) your violation of this Agreement; or (c) your violation of any third-party right.

10. Term and Termination

This Agreement is effective upon your first use of the Software and continues until terminated. Telio may terminate this Agreement immediately if you breach any provision herein. Upon termination, your license to use the Software ceases immediately. Sections 3, 7, 8, 9, and 11 survive termination.

11. Governing Law and Disputes

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Bucks County, Pennsylvania, and you consent to personal jurisdiction in those courts.

12. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Telio with respect to the Software and supersedes all prior agreements, representations, or understandings. If any provision is found unenforceable, the remaining provisions remain in full force.
